1. About these terms of service

This is an agreement between You and Secure Mailbox. This agreement applies to Secure Mailbox’s Service, including updates, plugins and add-on functions that You use while this agreement is in force.

USING THE SERVICE AND ADD-ON FUNCTIONS MEANS THAT YOU AGREE TO THE TERMS OF THIS AGREEMENT. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY AND ITS AFFILIATES TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERMS “YOU” OR “YOUR” SHALL REFER TO SUCH ENTITY AND ITS AFFILIATES. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MAY NOT USE THE SERVICE OR ADD-ON FUNCTIONS.

2. Definitions

“Secure Mailbox” means Secure Mailbox Sweden AB (Sweden).

“Service” or “Secure Mailbox Service” means the communications service provided by Secure Mailbox, including updates, add-on functions and plugins, in accordance with these Terms of Service (Service).

“We,” “Us” or “Our” means the Secure Mailbox company (We, Us or Our).

“You” or “Your” means you as individual or the company or other legal entity for which you are accepting this Agreement, and Affiliates of that company or entity (You or Your).

“Account” means a Secure Mailbox Service account opened by an individual user or corporation / business / organization /group (Account).

3. About Secure Mailbox

Secure Mailbox helps private individuals, companies and authorities around the world to store messages and documents in an encrypted mailbox that is owned and controlled by You.

The Service secures communication with all the people and organizations that You care about and who deal with important information about your life – doctors, lawyers, accountants, banks, and also with authorities, clients, colleagues and friends. Secure Mailbox is easy to use, well integrated with Your regular e-mail, and makes sure important information is always encrypted and securely stored.

4. Reservation of Rights in Services

Subject to the limited rights expressly granted hereunder, We reserve all rights, title and interest in and to the Secure Mailbox Services, including all related intellectual property rights. No rights are granted to You hereunder other than as expressly set forth herein.

5. Using the Service

In order to use and control your Secure Mailbox Service, You need to register with the Service by creating an Account using a valid e-mail address that is either owned by yourself or by Your company/organization.

It is possible to create more than one Account, for example a private account with a personal e-mail address and a different account for your business communications with your employer’s e-mail address.

In using the Secure Mailbox Service, You understand that the ownership of all the content within the encrypted service belongs to the owner of the chosen e-mail address.

In using the Secure Mailbox Service, You will, – obey the law; – obey any codes of conduct or other notices Secure Mailbox provides; – promptly notify Secure Mailbox if You learn of a security breach related to the Service.

When using the Secure Mailbox Service, You may not, – engage in, facilitate or further unlawful conduct; – use the Service in a way that harms Secure Mailbox or any customer of the Service – damage, disable, overburden, or impair the Service or interfere with anyone’s use and enjoyment of the Service;

If the law in Your country prohibits You from using the Service because You are under age, intellectual property rights exist or simply because this type of Service is not allowed, do not use the Service. If You obtain anything from a third party through the Service, You understand that your relationship with respect to those things is with the third party directly and not with Secure Mailbox. In the event You assert a claim that relates to or implicates your relationship with a third party, You shall therefore only assert such claim against the third party.

As a user of Secure Mailbox you must make sure your e-mail address exist, works and does not reject notifications repeatedly. Accounts where notifications are repeatedly rejected may be deleted by Secure Mailbox.

6. On content

Subject to the limited rights granted by You hereunder, We acquire no right, title or interest from You or Your licensor(s) under this agreement in or to Your data, including any intellectual property rights therein.

You understand that Secure Mailbox does not control or endorse the content that You and others post or provide on the Service. You understand that Secure Mailbox may need, and You hereby authorize Secure Mailbox to encrypt, use, modify, copy, distribute and display content posted on the Service to the extent necessary to provide the Service. We take no responsibility for the content provided by you on the Service.

This includes, – storing and retrieving the content; – making the content available to You and to those members to whom You have granted access; and – conforming to the limitations and terms of the Service.

You understand that sharing content that violates others’ copyrights and other intellectual property rights violates this agreement. Further, Secure Mailbox may refuse to make Your content available and may remove Your content from the Service at any time based on requirements in mandatory law.

7. Payment terms and conditions

You agree to pay Secure Mailbox any applicable charges and rates as stated on the Secure Mailbox website in connection with Your purchase and use of the Service.

To purchase payable Service, you need a sufficient balance on Your Secure Mailbox account. Money You deposit in Your account is used toward payment of Your choice of services that vary depending on Your usage. You load Your account through Your debit or credit card, or other means which may be made available by Secure Mailbox. Secure Mailbox reserves the right to stop accepting debit or credit cards from one or more issuers.

If You do not use the Service for a period of 365 days, any unused credit in Your account will expire. Expired credits are not refundable. You can still access and use the Service, but if You want to use chargeable features You will have to load Your account with new credits.

If Your account was pre-loaded with funds as a registration bonus from Secure Mailbox, these funds must be used within 180 days or they will expire.

Secure Mailbox may change the rates for the Service including add-on functions (such as, but not limited to, SMS notifications, sending large attachments, Seecrypt, electronic signatures and external software plugins) at any time by giving a thirty (30) day notice of such change via Secure Mailbox mail to Your account as well as on the Secure Mailbox website at, https://www.securemailbox.com. If You do not wish to accept such adjustment of rates, You may discontinue Your use of Secure Mailbox at any time. The new rate will apply to Your next purchase after the adjustments have been published on the Secure Mailbox website. If You continue to purchase and/or use the Service following the adjustments of the rates, and our notification of such adjustments, Secure Mailbox will regard this as Your acceptance of the new rates.

In the event You believe that Secure Mailbox has charged You in error, You must contact Secure Mailbox’s customer services at info@securemailbox.com within 90 days after such charge. No refunds will be given for any charges which are more than 90 days old.

Secure Mailbox will not refund the balance on Your account in the event You terminate Your user account(s). Secure Mailbox will not refund pre-paid monthly subscription fees for a downgraded account or removed business group. Compensation under this agreement will only be made in the form of credit for use of the Service.

Secure Mailbox reserves the right to terminate these Terms of Service with immediate effect, automatically and without recourse to the courts, in the event of any abuse by You of these terms relating to refunds.

8. Additional terms for monthly charges

You may choose to upgrade Your account to a level with a monthly fee. The monthly fee is paid in advance and may be paid month to month or for several months at the time. The fee will either be deducted from Your selected debit or credit card or by other means made available to You by Secure Mailbox. If the monthly fee is not received from You, Secure Mailbox may cancel or inactivate Your account(s) or business group(s).

9. Additional terms for business groups

You may choose to create a business group where You are responsible for all Service fees for all members in the group (Consolidated Billing). All service costs consumed by the group members are then charged to Your group “main” account. If payments for these costs are not received from You, Secure Mailbox may cancel or inactivate Your account(s) or business group(s).

10. Additional terms for auto recharge

You may choose to auto refill Your account balance monthly or when it reaches a critically low level (Auto-Recharge feature). The Auto-Recharge feature will be enabled when You select the box for that option. Your Secure Mailbox balance will be recharged with the same amount and by the same payment method chosen when You first signed up for Auto-Recharge, unless You subsequently change the amount by accessing Your Account. For example, if You charge Your account with 5 Euro by using Your credit card, and You enable Auto-Recharge, the recharge amount charged to Your credit card will also be 5 Euro. In the future, the same amount will be charged to Your credit card every time Your Secure Mailbox account balance goes below the threshold set by Secure Mailbox from time to time. If You do not want to enable Auto-Recharge, simply don’t check the box. You can disable Auto-Recharge at any time by accessing Your Account.

For some optional features, having Auto-Recharge turned on may be mandatory.

11. Integration with other providers

11.1 Integration with Non-Secure Mailbox Services. The Services may contain features designed to interoperate with Non-Secure Mailbox Applications (e.g., Seecrypt, Google, Scrive, Worksite or Email Your Doctor applications). To use such features, You may be required to obtain access to such Non-Secure Mailbox Applications from their providers. If the provider of any such Non-Secure Mailbox Application ceases to make the Non-Secure Mailbox Application available for interoperation with the corresponding Service features on reasonable terms, We may cease providing such Service features without entitling You to any refund, credit, or other compensation.

11.2 Non-Secure Mailbox Applications and Your Data. If You install or enable Non-Secure Mailbox Applications for use with Services, You acknowledge that We may allow providers of those Non-Secure Mailbox Applications to access Your Data as required for the interoperation of such Non-Secure Mailbox Applications with the Services. We shall not be responsible for any disclosure, modification or deletion of Your Data resulting from any such access by Non-Secure Mailbox Application providers.

11.3 Acquisition of Non-Secure Mailbox Products and Services. We or third parties may from time to time make available to You (e.g., a mailApp) third-party products or services, including but not limited to Non-Secure Mailbox Applications and implementation, customization and other consulting services. Any acquisition by You of such Non-Secure Mailbox products or services, and any exchange of data between You and any Non-Secure Mailbox provider, is solely between You and the applicable Non-Secure Mailbox provider. We do not warrant or support Non-Secure Mailbox products or services, whether or not they are designated by Us as “certified” or otherwise, except as specified in an Order Form. Subject to Section 11.1 (Integration with Non-Secure Mailbox Services), no purchase of Non-Secure Mailbox products or services is required to use the Services except a supported computing device, operating system, web browser and Internet connection.

12. How long does Your agreement with Secure Mailbox last?

The agreement will be effective as of the date of Your acceptance thereof by accepting a Secure Mailbox mail or links as may be designated by Secure Mailbox, or the date of Your first use of any of the Service and add-on functions, whichever occurs earlier, and will remain effective until terminated by either Secure Mailbox or You as set out below.

If You do not use the Service for a period of 2 years Secure Mailbox may inactivate Your account. You can reactivate the account by contacting Secure Mailbox customer service up to 365 days after inactivation.

You and/or Secure Mailbox may terminate Your agreement with Secure Mailbox at any time.

13. No warranty and limitation of liability

Secure Mailbox provides the Service ‘as-is’. Secure Mailbox does not guarantee the accuracy or timeliness of information available from the Service. Secure Mailbox gives no express warranties, guarantees or conditions. You may have additional consumer rights under Your local laws that this agreement cannot change. Secure Mailbox excludes any implied warranties, including those of merchantability, fitness for a particular purpose, workmanlike effort and non-infringement.

You can recover from Secure Mailbox only direct damages up to an amount equal to Your Service fee for one month. You cannot recover any other damages, including consequential, lost profits, special, indirect, incidental or punitive damages. Any claim related to this agreement or the Service may not be brought unless brought within one year. The one-year period begins on the date when the claim first could be filed. This applies to You and Your successors. It also applies to Secure Mailbox and our successors.

14. Notices

This agreement is in electronic form. There may be additional information regarding the Service that the law requires us to send you. Secure Mailbox may send You this information in electronic form. You have the right to withdraw this consent, but if You do, Secure Mailbox may cancel Your Service. Secure Mailbox may provide required information to You;

  • by Secure Mailbox mail to Your account;
  • on the Secure Mailbox web site that will be designated in a Secure Mailbox mail notice sent to You at the time the information is available

Notices provided to You via Secure Mailbox mail will be deemed given and received on the transmission date of the mail.

15. Changes in functionality and terms

Secure Mailbox may change the Service or delete features at any time and for any reason. Secure Mailbox may cancel or suspend Your Service at any time.

If Secure Mailbox changes the terms of this agreement, then Secure Mailbox will tell You at least 30 days before the change take place. If You do not agree to the changes, then You must cancel and stop utilizing the Service before the change takes place. If You do not stop using the Service, then Your use of the Service will continue under the changed agreement.

Further, Secure Mailbox may assign this contract, in whole or in part, at any time with or without notice to You. You may not assign this contract, or any part of it, to any other person. You may not transfer to anyone else, either temporarily or permanently, any rights to use the Service or any part of the Service.

These terms of service may have been translated into Your language. However, this English version of Secure Mailbox terms of service governs Your use of the Service and add-on functions should there be any conflict in terms.

16. Governing law and venue

This agreement shall be governed by and interpreted according to Swedish law. Any dispute, controversy or claim arising out of or in connection with this agreement shall be finally settled by Swedish Courts, with Stockholm District Court (Stockholm’s tingsrätt) as court of first instance.
